These Terms of Service (“TOS” or “Terms”) govern access to and use of PageOptimizer Pro websites, software, APIs, subscriptions, products, and services.

These Terms constitute a legally binding agreement between PageOptimizer Pro LLC (“PageOptimizer Pro,” “POP,” “we,” “us,” or “our”) and you, whether you access or use the Services as an individual or on behalf of another person, company, or organization.
PageOptimizer Pro provides businesses and individuals with search engine optimization and related resources, including software-as-a-service products, website optimization tools, reports, data, APIs, website profile services, industry research, surveys, content-related tools, and other products and services made available by PageOptimizer Pro from time to time (collectively, the “Services”).
The Services may be accessed through websites operated by PageOptimizer Pro, including pageoptimizer.pro, related domains, applications, and interfaces (collectively, the “Sites”).
By accessing or using any Site or Service, creating an account, purchasing a subscription, or clicking or checking a box indicating that you agree to these Terms, you agree to be legally bound by them.
If you do not agree to these Terms, you must not access or use the Sites or Services.
Certain portions of the Sites or Services may be available without payment. A person accessing or using the Services is referred to as a “User.”
A User who pays for access to any Site, Service, subscription, feature, or product is also referred to as a “Subscriber.”
References to “you” or “your” include both Users and Subscribers, as applicable.
If you accept these Terms on behalf of another person, business, organization, or legal entity, you represent that you have authority to bind that person or entity to these Terms.
PageOptimizer Pro may revise these Terms from time to time.
The effective date of the current version will be displayed at the beginning of these Terms. The current version applies to your continued access to and use of the Sites and Services.
Where permitted by law, continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms.
The current Terms supersede prior versions with respect to your continued use of the Services.
You may enter into a separate written agreement with PageOptimizer Pro relating to particular Services.
If the terms of a separately executed agreement conflict with these Terms, the separately executed agreement will control with respect to the conflicting provision unless that agreement states otherwise.
PageOptimizer Pro may provide application programming interfaces, software code, documentation, credentials, and related tools (collectively, the “PageOptimizer Pro API”) that enable authorized access to PageOptimizer Pro services, information, reports, or data (“PageOptimizer Pro Data”).
Subject to these Terms and any applicable API plan, PageOptimizer Pro grants authorized API users a limited, non-exclusive, non-transferable, revocable right to access and use the PageOptimizer Pro API and PageOptimizer Pro Data for permitted purposes.
You must comply with any technical limits, usage rules, attribution requirements, documentation, and policies applicable to the API.
Unless PageOptimizer Pro gives prior written authorization, you may not:
PageOptimizer Pro may restrict, suspend, or terminate API access where reasonably necessary because of nonpayment, abuse, security concerns, violation of these Terms, or misuse of the API.
Termination or suspension of API access does not create a right to compensation or refund except where expressly required by these Terms or applicable law.
Where an active API subscription is required, you must maintain that subscription in good standing.
If the API subscription is canceled, suspended, or unpaid, access to unused API credits may be unavailable until the API subscription is reactivated.
Separately purchased API call credits may be eligible for a refund for up to thirty (30) days following purchase.
After thirty (30) days, API call credits are non-refundable except where required by applicable law.
By accessing or calling the PageOptimizer Pro API, you agree to these Terms and all additional API terms and technical requirements made available to you.
The following terms apply to subscriptions for PageOptimizer Pro software and Services.
When purchasing a subscription, you agree to the pricing and payment terms displayed at checkout.
Unless otherwise stated, subscriptions automatically renew according to the billing period selected at signup, typically monthly or annually.
You are responsible for canceling your subscription before renewal if you do not wish it to renew.
You are responsible for keeping your billing information accurate and current and for ensuring that you are authorized to use the payment method associated with your account.
PageOptimizer Pro may use reasonable fraud-prevention and payment-verification procedures.
You may cancel your subscription through the cancellation functionality available within your PageOptimizer Pro account.
For security reasons, sending an email or making a telephone request alone may not constitute cancellation unless PageOptimizer Pro confirms otherwise.
Following cancellation, you may continue using paid Services through the end of the subscription period already paid for, provided the account remains in good standing.
Cancellation does not automatically entitle you to a refund.
Unless otherwise specified for a particular type of credit, remaining eligible POP credits associated with a canceled subscription may remain available in the account.
PageOptimizer Pro may revise its credit policies for future purchases or future subscription periods.
Credits provided as part of an active recurring subscription do not roll over into the following billing period unless expressly stated otherwise.
Unused recurring subscription credits may therefore expire at the end of the applicable billing period.
This provision does not affect separately purchased credits where different terms are provided at purchase.
Subject to these Terms, a Subscriber may request a refund during the first seven (7) days following the initial purchase of an eligible subscription.
PageOptimizer Pro may deny a refund where the account has been used fraudulently, has materially violated these Terms, or otherwise does not qualify under the applicable refund policy.
Any rights provided by mandatory consumer law remain unaffected.
Except where required by applicable law or expressly agreed by PageOptimizer Pro, subscription fees are non-refundable after the initial seven-day refund period.
Canceling a subscription does not entitle you to a refund for an unused portion of an existing billing period.
A downgrade may change the price charged at a future renewal but does not create a right to a refund of amounts already paid.
If one subscription associated with your account has been suspended because PageOptimizer Pro is unable to process the applicable payment method and another valid payment method later becomes associated with another subscription belonging to you, PageOptimizer Pro may use an authorized valid payment method associated with your account to collect properly due subscription charges, where permitted by applicable law and the applicable payment authorization.
PageOptimizer Pro may restrict the use of the same credit card, PayPal account, or other payment method across multiple unrelated accounts where reasonably necessary to prevent account sharing, fraud, abuse, or circumvention of plan restrictions.
Accounts found to be using payment methods in violation of account or subscription restrictions may be reviewed, restricted, suspended, or canceled.
Temporary, disposable, or similar email services may not be used to create PageOptimizer Pro accounts where their use interferes with account security, identification, billing, abuse prevention, or enforcement of these Terms.
PageOptimizer Pro may suspend or cancel accounts created using prohibited temporary email services.
Certain PageOptimizer Pro subscription plans may be marketed or described as including “unlimited” usage, including the Unlimited Single User Plan and Team Plan (collectively, the “Unlimited Plans”).
Unlimited usage is subject to this Fair Use Policy.
For purposes of this Fair Use Policy, only standard POP page runs performed using the unlimited page-run functionality included with an Unlimited Plan (“Qualifying Page Runs”) count toward the Fair Use thresholds.
The following do not count toward the Fair Use thresholds:
Users subscribed to the Unlimited Single User Plan may perform up to 450 Qualifying Page Runs during any rolling 90-day period.
PageOptimizer Pro will provide staged usage notifications as the account approaches the applicable Fair Use limit:
Reaching a notification threshold does not itself suspend the account.
The applicable Fair Use thresholds for the Team Plan are double those of the Unlimited Single User Plan.
Team Plan accounts may perform up to 900 Qualifying Page Runs during any rolling 90-day period.
Team Plan notifications and limits are:
Unless otherwise stated for a particular Team subscription, these limits apply to the Team account collectively rather than separately to each team member.
Fair Use is measured using a rolling 90-day period.
This means PageOptimizer Pro calculates the number of Qualifying Page Runs made during the immediately preceding ninety (90) days.
The Fair Use count does not reset simply because:
As older Qualifying Page Runs fall outside the rolling 90-day window, they cease to count toward the applicable Fair Use limit.
When an account reaches the applicable Fair Use limit, the ability to make additional page runs through the unlimited usage included in the Unlimited Plan will be temporarily paused.
For clarity, reaching the Fair Use limit alone:
Unlimited Plan page runs will become available again when the account's number of Qualifying Page Runs during the applicable rolling 90-day period falls below the applicable Fair Use limit.
Because the calculation uses a rolling 90-day window, the reactivation date will depend on when the Qualifying Page Runs included in the calculation were originally performed.
An account whose Unlimited Plan page runs have been temporarily paused may continue performing eligible page runs using separately purchased POP credits.
Runs made using those separately purchased credits do not count toward the Fair Use limits described above.
PageOptimizer Pro may send Fair Use notices to the email address associated with the account.
Failure to receive, open, or read a Fair Use notification does not increase the applicable Fair Use limit or prevent the automatic pause from taking effect.
The usage information maintained by PageOptimizer Pro's systems will determine the account's applicable Fair Use count, subject to correction of technical or billing errors.
The Fair Use Policy does not permit Users to evade or circumvent Fair Use restrictions.
Users may not:
Authorized use of the PageOptimizer Pro API is governed separately by the applicable API terms and does not constitute prohibited automation.
Reaching the Fair Use threshold is not, by itself, abusive conduct.
However, fraudulent use, unauthorized automation, account sharing, technical circumvention, attacks on the Services, or other material violations of these Terms may result in additional action under the applicable provisions of these Terms, including suspension or termination.
Single User accounts are intended for one individual and may not be shared between multiple users.
Team accounts may be used only by authorized members of the same legitimate team, organization, company, agency, or other permitted business group in accordance with the applicable plan.
Unrelated individuals may not combine their usage through a Team account for the purpose of avoiding individual subscriptions or applicable account limits.
PageOptimizer Pro may restrict, suspend, or cancel accounts found to be materially violating account-sharing restrictions.
Usage limitations applicable specifically to Unlimited Plans are governed by the Fair Use Policy above.
Separate from those numerical Fair Use thresholds, PageOptimizer Pro may restrict, suspend, or terminate use of the Services where an account is used fraudulently, abusively, disruptively, unlawfully, in violation of account-sharing restrictions, through unauthorized automation, or for the purpose of circumventing plan or technical limitations.
PageOptimizer Pro may reasonably request information necessary to investigate suspected abusive or prohibited use.
Failure to cooperate with a reasonable investigation may result in restriction or suspension of access where necessary to protect PageOptimizer Pro, its systems, or other users.
To use PageOptimizer Pro, you must:
You may not provide access to your account to unaffiliated third parties except where expressly permitted by your plan.
Unauthorized group-buy arrangements, buyers' clubs, account pooling, resale of account access, and similar practices are prohibited.
If employees, contractors, team members, or other authorized users access the Services through your account or organization, you are responsible for ensuring that their use complies with these Terms.
You are responsible for maintaining the confidentiality and security of usernames, passwords, API keys, access tokens, and other authentication information associated with your account.
You must promptly notify PageOptimizer Pro if you know or reasonably suspect that your account or credentials have been accessed or used without authorization.
PageOptimizer Pro may restrict access where reasonably necessary to protect account or system security.
PageOptimizer Pro may require reasonable verification that you are the legitimate owner, purchaser, or authorized user of a subscription before allowing changes to sensitive account information or access credentials.
If a payment due for a subscription cannot be processed, PageOptimizer Pro may suspend or cancel the affected subscription and restrict access to paid Services.
Certain account data or functionality may become unavailable following prolonged nonpayment, cancellation, or termination.
Where PageOptimizer Pro permits payment by invoice, additional fees or separate commercial terms may apply.
Unless otherwise agreed in writing, undisputed invoices must be paid within thirty (30) days.
Past-due amounts may accrue interest at the lesser of:
You may also be responsible for reasonable collection costs and legal fees incurred in collecting valid overdue amounts where permitted by law.
PageOptimizer Pro may suspend or terminate Services for unpaid invoices.
Unless expressly stated otherwise, prices and fees do not include sales, use, value-added, or similar taxes imposed by governmental authorities.
You are responsible for applicable taxes associated with your purchase or use of the Services, except taxes imposed on PageOptimizer Pro's own income.
Where applicable, you may provide valid evidence of tax exemption.
Certain areas of the Sites or Services may be public or accessible by search engines, crawlers, syndication tools, third-party services, or other users.
You are responsible for deciding what information you submit to publicly accessible portions of the Services.
To the extent permitted by applicable law, PageOptimizer Pro may monitor activity and communications occurring through the Services as reasonably necessary to:
“User-Generated Content” means information, text, data, links, articles, files, software, photographs, graphics, videos, audio, messages, prompts, documents, materials, or other content that you upload, submit, transmit, publish, or display through the Services.
You are responsible for your User-Generated Content.
You represent that you have all rights, permissions, and authority necessary to submit and use your User-Generated Content through the Services.
You must not submit User-Generated Content that:
PageOptimizer Pro is not required to pre-screen User-Generated Content and does not guarantee its accuracy, legality, integrity, usefulness, quality, or appropriateness.
User-Generated Content does not necessarily represent PageOptimizer Pro's views.
To the extent permitted by law, PageOptimizer Pro is not responsible for losses arising from User-Generated Content created or provided by Users.
You are responsible for maintaining any backups of User-Generated Content that you require.
PageOptimizer Pro may remove, restrict, disable, or delete User-Generated Content where it reasonably believes the content violates these Terms, applicable law, the rights of another person, or the safety or integrity of the Services.
Unless otherwise agreed in writing, PageOptimizer Pro is not obligated to retain User-Generated Content indefinitely.
Content or data may become unavailable following cancellation, termination, account changes, expiration, or deletion.
PageOptimizer Pro does not claim ownership of User-Generated Content merely because it is submitted through the Services.
You retain ownership rights you otherwise hold in your User-Generated Content, subject to the licenses granted below.
You grant PageOptimizer Pro the rights reasonably necessary to host, process, copy, transmit, reproduce, modify for technical purposes, store, display, and otherwise use User-Generated Content in order to provide, maintain, secure, and improve the Services.
PageOptimizer Pro may aggregate and anonymize User-Generated Content and other information or data supplied through the Services (“User Data”) so that it does not reasonably identify an individual User or customer.
PageOptimizer Pro may use such aggregated or anonymized information for purposes including:
To the extent necessary for these purposes, you grant PageOptimizer Pro and its affiliates a worldwide, royalty-free license to use such properly anonymized and aggregated information.
If PageOptimizer Pro provides community areas or other features intended for public display and you intentionally submit content to those areas (“Interactive Content”), you grant PageOptimizer Pro a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, reproduce, display, distribute, adapt, translate, publish, and otherwise use that Interactive Content in connection with PageOptimizer Pro's business and Services.
PageOptimizer Pro may retain archival copies where reasonably necessary for legal, security, backup, or operational purposes.
Nothing in these Terms prevents PageOptimizer Pro from independently using general ideas, concepts, techniques, or know-how that are not protected as your confidential information or proprietary intellectual property.
Except for User-Generated Content and third-party materials, PageOptimizer Pro retains all right, title, and interest in the Sites, Services, software, systems, designs, reports, functionality, technology, documentation, and related intellectual property.
No ownership rights are transferred to you except for the limited rights to access and use the Services expressly provided under these Terms.
PageOptimizer Pro may establish reasonable technical or usage limits for the Services.
PageOptimizer Pro may modify, update, interrupt, suspend, maintain, replace, or discontinue part or all of a Site or Service.
Although PageOptimizer Pro may attempt to provide notice of material changes where practical, continuous or uninterrupted availability is not guaranteed.
PageOptimizer Pro is not responsible for your equipment, internet connection, third-party systems, browsers, software, or other resources required to access the Services.
Nothing in this Section overrides the specific Fair Use rules applicable to Unlimited Plans.
If you provide PageOptimizer Pro with ideas, recommendations, suggestions, comments, or other feedback relating to PageOptimizer Pro products, technologies, Sites, or Services (“Feedback”), you agree that PageOptimizer Pro may use that Feedback without restriction or payment to you.
You grant PageOptimizer Pro a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable right to use, modify, reproduce, distribute, display, publish, and incorporate Feedback into current or future products and Services.
Do not provide Feedback that you are not authorized to provide.
PageOptimizer Pro may make experimental, preview, early-access, or beta features available from time to time (“Beta Features”).
Beta Features may be incomplete, contain errors, change substantially, or be discontinued.
You use Beta Features at your own risk.
To the maximum extent permitted by law, Beta Features are provided “AS IS” and “AS AVAILABLE” without warranties regarding their performance, reliability, continued availability, or suitability.
PageOptimizer Pro may offer promotional credits, referral credits, bonus credits, or similar incentives (“Service Credits”).
Unless otherwise expressly stated:
Fraudulent participation in a referral, promotional, or credit program may also result in suspension from the applicable program or other action under these Terms.
Except for User-Generated Content and third-party materials, PageOptimizer Pro owns or licenses the visual interfaces, graphics, designs, software, code, reports, text, features, compilations, databases, technology, documentation, and other materials forming part of the Sites or Services (“PageOptimizer Pro Content”).
PageOptimizer Pro names, logos, product names, trademarks, trade names, service marks, and other brand identifiers are owned by or licensed to PageOptimizer Pro.
Nothing in these Terms gives you permission to use PageOptimizer Pro trademarks except as expressly authorized in writing or permitted by applicable law.
Except to the extent expressly permitted by applicable law or a separate written agreement, you may not:
PageOptimizer Pro may restrict or suspend access where reasonably necessary to investigate or stop violations of these restrictions.
All rights not expressly granted to you are reserved by PageOptimizer Pro and its licensors.

EXCEPT FOR WARRANTIES THAT CANNOT LEGALLY BE DISCLAIMED, PAGEOPTIMIZER PRO AND ITS THIRD-PARTY SUPPLIERS DISCLAIM ALL EXPRESS AND IMPLIED WARRANTIES RELATING TO THE SITES, SERVICES, AND PAGEOPTIMIZER PRO CONTENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUALITY, AND NON-INFRINGEMENT.
PAGEOPTIMIZER PRO DOES NOT WARRANT THAT:
The Sites and Services are provided on an “AS IS” and “AS AVAILABLE” basis to the maximum extent permitted by applicable law.
You acknowledge that internet-based services depend on communications networks and third-party infrastructure that PageOptimizer Pro does not fully control.
Users may have mandatory consumer rights under applicable local law. Nothing in these Terms excludes rights that cannot lawfully be excluded.
You are responsible for third-party software, accounts, integrations, platforms, products, and services that you choose to use in connection with PageOptimizer Pro.
Third-party products are governed by the terms and privacy practices of the relevant third party.
PageOptimizer Pro is not responsible for the performance, security, availability, accuracy, or legality of third-party products that it does not control.
You are responsible for obtaining any licenses or permissions required for third-party software or data that you connect to or use with PageOptimizer Pro.
PageOptimizer Pro may restrict an integration where it reasonably believes continued use would violate third-party rights, applicable law, these Terms, or PageOptimizer Pro's security requirements.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAGEOPTIMIZER PRO, ITS AFFILIATES, AND ITS THIRD-PARTY SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THESE TERMS, THE SITES, OR THE SERVICES.
THIS INCLUDES, WHERE PERMITTED BY LAW, LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITIES, USE, OR DATA.
THESE LIMITATIONS APPLY REGARDLESS OF WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, NEGLIGENCE, WARRANTY, STATUTE, OR ANOTHER LEGAL THEORY, EVEN IF PAGEOPTIMIZER PRO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
PageOptimizer Pro is not responsible for loss resulting from your reliance on User-Generated Content or information provided by third parties.
The limitations in this Section include losses caused by modification, suspension, restriction, discontinuation, termination, incompatibility, delays, third-party conduct, communications failures, malware, or inability to access the Services, except to the extent liability cannot legally be excluded.
To the maximum extent permitted by applicable law, PageOptimizer Pro's aggregate liability arising from or relating to these Terms or the Sites or Services will not exceed the greater of:
These limitations apply even if a limited remedy fails of its essential purpose.
Some jurisdictions do not permit certain exclusions or limitations of liability. In those jurisdictions, these provisions apply only to the maximum extent allowed by law.
PageOptimizer Pro Services may be accessed from multiple countries.
You are responsible for complying with laws applicable to your use of the Services, including laws governing online conduct, intellectual property, data, content, and transmission of technical information.
PageOptimizer Pro processes personal information in accordance with its Privacy Policy and applicable data protection laws.
Depending on the Services being used and the relationship between the parties, PageOptimizer Pro may act as a data controller, data processor, service provider, contractor, or another legally defined role.
If you believe that your use of the Services requires a separate data processing agreement or addendum under applicable data protection law, contact:

PageOptimizer Pro will determine whether an appropriate data processing agreement is required based on the applicable Services and processing activities.
You may terminate your use of the Services by canceling your applicable subscription and ceasing use of the Services.
PageOptimizer Pro may suspend or terminate access where permitted by these Terms, including for:
For clarity, reaching the numerical Fair Use threshold applicable to an Unlimited Plan does not, by itself, terminate the account. The Fair Use pause described in Section 3 applies instead.
Termination does not eliminate payment obligations or other liabilities that accrued before termination.
You are responsible for exporting or retaining any information you need before termination where export functionality is available.
Unless otherwise required by law or separate agreement, PageOptimizer Pro is not obligated to retain User data or content indefinitely following termination.
Any provisions that by their nature should survive termination will remain effective, including provisions concerning intellectual property, licenses already granted where stated to be perpetual, indemnification, warranty disclaimers, liability limitations, accrued payment obligations, dispute provisions, and miscellaneous legal terms.
PageOptimizer Pro may add, modify, replace, suspend, or discontinue features or Services from time to time.
Your continued access is subject to these Terms, applicable plan restrictions, and applicable law.
Neither party will be liable for delay or failure to perform obligations caused by events reasonably outside that party's control, including natural disasters, war, terrorism, civil disturbances, labor disputes, governmental actions, utility failures, internet disruptions, telecommunications failures, widespread cloud-service outages, or similar events.
The affected party will resume performance as reasonably practical after the event ends.
You consent to receiving communications relating to the Services and these Terms electronically.
PageOptimizer Pro may send notices to the email address associated with your account or provide notices through the Sites or Services.
You are responsible for maintaining an accurate email address.

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.
Subject to any mandatory rights or jurisdictions that cannot lawfully be waived, disputes arising from or relating to these Terms will be subject to the exclusive jurisdiction of the applicable state and federal courts located in Washington, United States.
You and PageOptimizer Pro are independent contracting parties.
Nothing in these Terms creates a partnership, employment relationship, agency, fiduciary relationship, or joint venture between you and PageOptimizer Pro.
Neither party has authority to bind the other except as expressly agreed in writing.
Unless expressly stated otherwise, these Terms do not create enforceable rights for third parties.
If a provision of these Terms is found invalid, illegal, or unenforceable, it will be interpreted or modified to the minimum extent necessary to make it enforceable while preserving its intended purpose.
The remaining provisions will remain in effect.
Failure by either party to enforce a provision of these Terms does not waive the right to enforce that provision later.
You may not assign or transfer your rights or obligations under these Terms without PageOptimizer Pro's prior written consent.
PageOptimizer Pro may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, change of control, or transfer of the applicable business or Services.
These Terms, together with the Privacy Policy, applicable subscription terms, applicable PageOptimizer Pro policies, and any separately executed agreement expressly incorporated into the relationship between you and PageOptimizer Pro, constitute the agreement governing your use of the applicable Sites and Services.
They supersede prior agreements concerning the same subject matter, except where a separately executed written agreement expressly controls.
